Estate/Incapacity Planning and Elder Law:
As part of our practice, we assist individuals and business owners in planning for the disposition of their
property during their lifetime or afterward in a personal and tax efficient manner. We ascertain our clients' goals and after discussion, implement these goals by preparing all appropriate documents. These documents may include Wills, Revocable and Irrevocable Trusts, Insurance
Trusts, Powers of Attorney, Designation of Health Care Surrogates and any other necessary
documents to ensure the clients' wishes are met. In addition, our firm can assist clients who are in
need of guardianship services either for themselves or others, for both minors and the elderly. We
also specialize in the area of Medicaid Planning and can assist you by way of analyzing your assets
and income, your gift and trust programs, as well as preparing and implementing Qualified Income
Trusts, Special Needs Trusts, Personal Service Contracts and other tools to maximize the
preservation of your benefits and assets.
Estate and Trust Administration and Litigation:
We provide legal advice and representation to personal representatives and beneficiaries in the
administration of estates from the opening stages of administration through the closing of same. In
addition, our firm is actively involved in providing litigation services that sometimes become
necessary in estate proceedings. As an added service to our clients, the firm is able to assist in the
preparation of required Federal and Florida Estate Tax Returns, Federal Fiduciary Income Tax
Returns as well as the court required accountings. Similar services are also provided to Trustees and
trust beneficiaries in the administration of trusts.
Guardianship Administration and Litigation:
We provide legal advice and representation to legal guardians in the administration of guardianships
from the opening stages of administration (whether by way of incapacity proceedings for the elderly
or handicapped, or for minors) through the closing of same. The firm is also actively involved in
providing litigation services that sometimes become necessary in guardianship proceedings. As an
added service to our clients, the firm is able to assist in the preparation of required Federal Tax
Returns, as well as the court required annual accountings. Similar services are also provided to
named Attorneys-in-Fact and Health Care Surrogates in carrying out their fiduciary duties.
Real Estate:
Our firm can assist you in virtually every aspect of real estate law, both residential and commercial.

- Real estate litigation; and
- Specialized services geared toward the real estate investor and/or developer, including development/loan/construction agreements (negotiation and preparation), 1031 exchanges and formation of land trusts, investment trusts and partnership/joint venture agreements.

Business Organizations and Operations:
We offer legal advice and representation to clients seeking to create, buy/sell or operate a business.
In a business' initial stages we assist in the formation of corporations, S-corporations, limited
liability companies, limited liability partnerships, professional corporations and partnerships. During
the operating cycle of a business, our firm provides advice and services in mergers and acquisitions
and contract negotiations for the purchase of assets and/or other businesses. Our services also
include drafting and preparation of management agreements, non-compete agreements, employment
and compensation agreements, annual minutes, special shareholders' and directors' minutes and
other documents necessary to maintain, manage and expand your business. We provide assistance
in obtaining any State and/or Federal licenses your business may be required to have in order to
operate, specializing in licensing through the State of Florida's Office of Financial Regulations
(formerly The Department of Business and Finance).
